NASD to float digital securities offering, awaits SEC approva

NASD OTC Plc is poised to introduce its first-ever digital securities offering in the third quarter of 2025, pending final approval from the Securities and Exchange Commission (SEC). The offering is set to mark a significant milestone in Nigeria’s capital markets, blending traditional securities with cutting-edge digital platforms.

The Managing Director of NASD OTC emphasized that the company had already approached the SEC with a planned issuance through its digital securities platform. With the third quarter already underway, confidence is high that approval will arrive in time to facilitate launch.

This initiative signals a strategic expansion of NASD’s capabilities. Digital securities could include tokenized bonds, equity offerings, or other digital assets, opening up new avenues for trading and investment. NASD’s bold move, if approved, positions it as a pioneer in leveraging technology to broaden market access and modernize capital markets in Nigeria.

In parallel, NASD has also unveiled plans to introduce a cash dividend and bonus shares to its shareholders for the first time. These will be proposed at the upcoming Annual General Meeting scheduled for August 2025, reflecting strong and improving financial health.

Indeed, NASD’s first-half performance signals a powerful rebound. The company posted a 308 percent increase in revenue, reaching N657 million—up from N161 million in the same period last year. Profit before tax turned positive with a rise of 646 percent to N341 million, compared to a loss in the previous year. The improved cost-to-income ratio and a dramatic surge in originating income further underline a period of operational turnaround.

As NASD awaits SEC’s final signal, all eyes are on this financial innovation. If successful, the digital securities offering could democratize capital access, enhance liquidity, and spur investor inclusion across demographics. The coming months will determine whether this leap into the digital future redefines the Nigerian capital market.
